General Terms of Service (Algemene Voorwaarden)
1. Introduction
Sequaint Labs B.V., specialises in AI-native product development and consulting. We build and operate consumer software products and provide advanced B2B technology services. These General Terms of Service govern your use of our corporate website (www.sequaint.com) and our consumer software applications.

2. Applicability
By accessing our website or using our consumer software, you agree to these Terms. If you are a business engaging us for consulting, technology strategy, or product development, a separate Professional Services Agreement (Overeenkomst van Opdracht) will apply to that engagement.
3. Consumer Software Accounts and Acceptable Use
License: We grant you a personal, non-exclusive, non-transferable right to use our software products for their intended purposes.
Prohibited Actions: You may not reverse engineer, decompile, or attempt to extract the source code of our software, nor use our features to generate illegal, infringing, or harmful content.
4. Intellectual Property
All intellectual property rights related to the website, software, and underlying technology remain exclusively vested in Sequaint Labs B.V. or our licensors, in accordance with the Dutch Copyright Act (Auteurswet).
5. Limitation of Liability
For Business Users: To the maximum extent permitted by Dutch law, Sequaint is not liable for indirect, incidental, or consequential damages (including lost data or profits). Our total liability for direct damages is limited to the amount paid for the software in the 12 months preceding the claim.
For Consumers: The above limitations do not apply in cases of intent or gross negligence by Sequaint. Your statutory rights under Dutch consumer protection law (consumentenkoop) remain fully unaffected.
6. Governing Law and Dispute Resolution
These Terms are governed by Dutch law. For B2B disputes, the competent court in Amsterdam, the Netherlands, has exclusive jurisdiction. For consumers, disputes may be submitted to the competent court in the consumer's place of residence. If Sequaint chooses to submit a dispute to the court in Amsterdam, the consumer has the right to choose their statutory competent court within one month of being notified in writing.
